I remember the first time I read a term sheet for my seed stage startup. It was brutal.

The excitement left my face as I read from page to page.

I didn't understand half of it and the half I knew
where basically saying we didn't have Veto rights as cofounders.

Half the deal was structured as debt even though we had asked for equity.

We obviously didn't accept the deal, but damn,
VCs can be brutal at times.

Luckily, there's a few ways for you to know when a deal is bad before signing

1. If you get a high valuation with a full ratchet anti-dilution clause,

this means that if you raise in the future at a lower valuation, you and your employees will lose shares to compensate the first investor because the new shares are cheaper than what they originally paid.

2. Also check for a Pro-Rata Rights clause

this means that the first investor's ownership stays the same in future rounds. This is fine for big investors you trust with long-term support. It is not advisable for every single investor on your cap table to have these rights.

3. The worst are vesting resets

they mean that if a cofounder works for a year and leaves with a percentage of the company, VCs can then come in and have the remaining founders and employees start vesting from the beginning at near 0% to compensate for the lost ownership. This is how founders lose control and get fired from their own startups.

There are many more red flags,
but the best way to avoid guess work is by working with an experienced venture capital lawyer before you sign anything.

Helping African founders get investor meetings

I see founders paying 5% success fees to "fundraising advisors" and they have a high risk of being charged for money laundering.

Unless that “advisor” is legally registered with the Special Control Unit Against Money Laundering (SCUML) and the Securities and Exchange Commission (SEC).

Then that transaction has no regulatory cover and is illegal in most jurisdictions, including Nigeria.

Sending someone 10 thousand dollars or more from company cash is usually the wrong move.

The sad part is you then have to explain where the money went when investors audit your books, and this can lead to a few issues down the line if the “advisor” was unregistered.

So next time someone asks for a success fee, you simply request to see their licenses and paperwork.

It could be digitising manual labour like peeling potatoes,
or something else entirely.

So ask yourself one honest question.

How can I make life easier for my users?
