Senior Manager reporting directly to Legal Counsel, with four direct reports that I trained, coached, mentored and managed.  Drafted, negotiated and managed a wide variety of commercial agreements, including software licensing, platform hosting, pharmacovigilance, Consulting Agreements, Confidentiality Disclosure Agreements, Master Services Agreements, Work Orders, Amendments, Change Orders, terminations and renewals; all commercial agreements for Mirum and 8 of its corporate entities across the globe.  Negotiated Clinical Trial Agreements as needed.  Developed and implemented the contracting process workflows globally, built and trained the Contracts Management team, personally built/created and implemented the Legal Training decks and documents (narrated and non-narrated) and rolled them out to the population for global Legal Training, as well as established, managed and implemented the new contracts management system for global use and reporting metrics.  Worked closely and cross-functionally with all departments and teams, General Counsel, third-party vendors, outsourced attorney firms and executive leadership to develop business needs and meet corporate goals. International Contracts Management

Amgen

I joined the newly created Contracts Management Team in Sourcing and Finance to build, develop, manage and standardize contracts processes and procedures, manage and monitor suppliers for contract compliance, and provide contract and business improvement opportunities to Category Managers, Procurement and the Legal Department.  I engaged and built relationships with key domestic and international stakeholders to communicate suggested opportunities, risks or constraints that impacted business drivers and costs.  I provided insight and analysis for strategic contracts to Executive Teams/Management, and managed non-strategic activities as necessary.  I monitored, managed, supervised, negotiated and supported post-contracting activities for complex, high-dollar value, global and domestic managed services agreements, and compliance to pricing and key commercial terms.  I also negotiated and finalized hard-to-close escalated contracts of all types: software licensing, employment, insurance, and others.

I realized significant savings, minimized legal and financial risk, and resolved and finalized escalated contracts by identifying significant areas of discrepancies and issues, negotiating for optimal terms, identifying drivers of optimal performance, developing and standardizing processes with a clear and consistent approach to contracting, and clear communication of these processes to relevant business partners and departments.

International Contracts Management

Managed and monitored Phase I of the domestic and international Resolution Planning project for delivery of domestic and foreign language ISDAs and agreements for corporate, federal banking and resolution planning federal regulatory compliance.  Reported directly to executive management.

Documents Manager

Key member of the Banking Operations and Financial Services (BOFS) Sourcing Team within Citigroup’s Enterprise Supply Chain organization.  Activities included contracts drafting, supplier negotiations, and contracts administration activities across a wide range of potential products and services, including Call Centers, Lending Services, Payment/Transaction Processing, Collections & Recoveries, ATMs, and/or Cash Management.  Project Manager activities included leading large domestic and international cross-functional teams through the end to end contracting process, ensuring the best possible outcomes for Citi relative to commercial terms and risk exposure.

KEY RESPONSIBILITIES:

•	Managed end-to-end contracting process for assigned projects, including the: 1) establishment of cross-functional project team, 2) completion of all required third party due diligence, 3) drafting and negotiation of contracts, 4) development of action plans, 5) compilation and routing of contract packages for execution, 6) ongoing administration of the contracts and 7) amendments
•	Prepared and negotiated Master Services Agreements, Purchase Agreements, amendments, Non-Disclosure Agreements, subcontractor agreements, statements of work and all other agreements in accordance with corporate policies and other business and industry rules, regulations, and legal requirements
