Lead a team of 42 professionals in Finance (accounting), FP&A, Legal, Revenue Operations, and Internal Controls .

Hired as a partner to the CEO and the executive team in preparation for an Initial Public Offering (IPO).
- Partnered with the executive team on all business-related issues. Increased finance acumen of the organization.
- Upgraded the company’s infrastructure (people, technology, processes) in preparation for an IPO. 
- Converted the financials from Canadian GAAP to IFRS and from Canadian dollar to US dollar.

ElementAI is a private venture backed (VC backed) software company that provides Fortune 2000, under a software as a service (SaaS) revenue model,  artificial intelligence (AI) and machine learning (ML) models to help solve complex business issues.  The company generates revenues from subscriptions, implementation and consulting services. Offices in Canada, US, UK and Asia-Pac.

Lead a team of 9 professional in Finance (Accounting) and FP&A professionals.

- Partnered with the CEO on all business-related issues. 
- Worked closely with the Chief Revenue Officer (CRO) on complex sales transactions
- Developed with the Head of Marketing key metrics to better manage the marketing spend.
- Implemented a time-tracking system (Mavenlink) to provide the service organization key metrics, such as staff utilization rate and profitability by customer.
- Developed the business strategy and prepared a 3-year financial Long-Range Plan (LRP). 
- Implemented key business metrics. 
- Upgraded the financial system from a QuickBooks-like system to Sage Intacct in expectation of significant growth.

- Developed the corporate strategy with the CEO and Senior Management team; put in place a formal planning process, resulting in the delivery of a detailed, three-year Long Range Plan. Built an accurate liquidity projection model 
- Worked with sales on all major sales transactions. Built profitability model for DaaS (Database as a Service)
- Complete 3 fundraising rounds from VC & strategic investors. Managed the entire financing process.

Episerver

Episerver is a private equity backed software company that provides under a SaaS model a web content management solution (CMS).  Offices in the US, UK and Australia.

Lead the Finance, FP&A, Legal, Revenue Operations and Human Resources professionals.

+ Episerver is the result of a combination of 2 companies: Ektron and Episerver.
+ Managed the sale to a private equity firm after raising $15M in equity (minor position). Coordinated the G&A integration. 
+ Partnered with the CEO and management team on business issues.
+ Put in place the infrastructure (technology, people, processes) to support the growth of the company.
+ Worked with Sales on all key transactions. Helped maximized revenues from customers in a win-win outcome

Dune Medical Devices

Dune is a private equity (Apax) backed medical device company that develops and commercializes a FDA approved (PMA) intraoperative, real-time, cancer detection devices. Dune has operations in the US, Europe and in Israel, where it maintains its manufacturing facilities.  
Key member of our management team: responsible for corporate finance, human resources, facilities management, risk management (e.g., insurance) and the legal function.
 
- Developed the corporate strategy with CEO; provided financial and business insight on key issues affecting the organization. Supported senior management team on tactical and strategic issues;
-  Prepare the Long Range Plan in expectation of a major funding round: develop the US launch strategy and the European expansion plan
- Put in place the necessary infrastructure and processes for a US launch: sales, customer support, and logistics
- Raised $15 million in equity 
- Worked closely with the Board on all corporate governance manners

Cadent Ltd.

Cadent was acquired by Align Technologies (NASDAQ: ALGN) for 5x 2010 revenues in April 2011

Hired as a partner to the CEO in preparation for an IPO.

Cadent is a VC backed medical device company that provides intra-oral scanners to the dental industry. Key investors include: Apax, a private equity firm, and a group of VCs, including Fortissimo, JP Morgan. Revenue grew from $29.0 million in 2009 to $38.0 million in 2010 and a projected $46.0 million in 2011. Cadent has 240 employees in the US and in Israel, where it maintains its manufacturing facilities.

Key member of our management team: responsible for corporate finance, human resources, facilities management, risk management (e.g., insurance), regulatory compliance (FDA) and the legal function.

- Managed the M&A process in order to maximize the selling price: hired the investment bankers; partnered with the CEO to negotiate the best possible terms; managed the entire due diligence process; worked closely with the legal team on all merger related documents; communicated transaction details to shareholders; 
- Developed the corporate strategy with CEO; provided financial and business insight on key issues affecting the organization.  Supported senior management team on tactical and strategic issues;

DataSynapse

Acquired by Tibco

DataSynapse, a VC backed (Bain, Goldman, NeoCarta) software company, was acquired by Tibco Software (NASDAQ: TIBX)  in August 2009. Revenue grew from $14.0 million in 2005 to $41.0 million in 2008. Employees count grew from 100 to 225 in less than 24 months.  Offices in the US, UK, EMEA, Asia-Pac.

Hired as a business partner to the CEO in preparation for an IPO.

Key member of our management team: responsible for corporate finance, human resources, facilities management, risk management (e.g., insurance) and on an interim basis, the legal function.
- Developed the corporate strategy with CEO – the company’s co-founder;
- Raised $12 million in equity funding;
- Raised $21.5million in short (AR Revolver) and long term debt; negotiated covenants and terms to ensure minimal shareholder dilution
- Put in place the necessary infrastructure (people, systems, processes) to support the growth of the company in preparation for an IPO;
- Build the HR function: developed all required corporate policies, streamlined the hiring process resulting in significant cost savings, and hired more than 100 employees in 8 countries.  Outsourced the HR back-office operations to a new provider resulting in $0.5 million annual savings.  
- Structured the compensation package of our executive team to ensure alignment with company objectives.  
- Recruited 2 senior members (Marketing, Sales) of the management team: engaged and managed the process with the retained search firms and benchmarked compensation
- Developed, in close collaboration with Sales Management, the compensation plans of all the field personnel;
- Closed major revenue transactions – some in millions $ - by helping sales structure complex contracts to ensure proper revenue recognition.  
- Developed and maintained a strong relationship with lending institutions, Board members and shareholders. 
- Set up operations in France, Germany, Spain, Japan and China

Concord Communications

Concord, a publicly traded company (NASDAQ), was acquired by Computer Associates in April 2005, at a premium of 70%. 

Concord is a global company that developed performance and fault management software for networks, applications and servers.  Customers included large enterprises, Fortune 2000 company and government entities. Concord has about 640 employees in 18 countries and a run-rate revenues of over $150 million.  

Responsible for all corporate finance functions: finance, accounting, taxes, FP&A and Order management
- Assessed the financial viability of 12 potential acquisitions, which had revenues between $1 to $50 million, with a median of $20 million: determined quality of revenue recognition and accounting process; reviewed business model to assess the ability to meet future financial projections. Worked with investment bankers as lead on some projects: prepared the financial model to support the business case & purchase price. 
- Integrated the finance function and related systems for 3 acquisitions, resulting in seamless integration
- Created a highly controlled finance environment: completed the Sarbanes-Oxley (404) audit, resulting in no material weakness and only one significant deficiency.
- Closed major revenue transactions – some in millions $ - by helping sales structure complex contracts to ensure proper revenue recognition.  Explained to customers Concord’s business model to address sales objections.
- Resolved business issues to help improve internal efficiencies: developed the engineering offshore financial model and helped developed profitable service offering for professional services.
- Implemented new systems to improve efficiencies in the processing of sales orders, commissions and reporting
- Developed strong relationships with Board members, many of them managing partners at venture capital firms 
- Met potential investors and Wall Street Analysts with the CFO and presented the Concord “story”.
