Fixed-Price contracts aren't protecting you...

They're setting you up for failure!

Most procurement teams think Fixed-Price = safety.

Budget certainty. Risk transferred to the supplier.

But here's what actually happens:

→ Your scope isn't as clear as you think
→ Requirements shift
→ The supplier protects themselves with change orders
→ You end up paying more, damaging the relationship AND...

You have to spend time reopening/renegotiating contracts...

I've watched this play out dozens of times.

The real question isn't "which contract type is safest?"

It's "which contract type matches my situation?"

Here's how to actually decide:

→ 𝗪𝗵𝗲𝗻 𝘀𝗰𝗼𝗽𝗲 𝗶𝘀 𝗰𝗿𝘆𝘀𝘁𝗮𝗹 𝗰𝗹𝗲𝗮𝗿:
Fixed-Price works. You get budget certainty and transfer delivery risk to the supplier.

→ 𝗪𝗵𝗲𝗻 𝘀𝗰𝗼𝗽𝗲 𝗶𝘀 𝗳𝘂𝘇𝘇𝘆 𝗼𝗿 𝗲𝘃𝗼𝗹𝘃𝗶𝗻𝗴:
Time & Materials keeps you flexible. Add "Not-to-Exceed" caps to control costs.

→ 𝗪𝗵𝗲𝗻 𝘆𝗼𝘂 𝗰𝗮𝗻'𝘁 𝗲𝘃𝗲𝗻 𝗲𝘀𝘁𝗶𝗺𝗮𝘁𝗲 𝘁𝗵𝗲 𝗲𝗳𝗳𝗼𝗿𝘁:
Cost-Plus gives transparency for R&D and innovation work. But it requires active oversight.

→ 𝗙𝗼𝗿 𝗼𝗻𝗴𝗼𝗶𝗻𝗴 𝗿𝗲𝗹𝗮𝘁𝗶𝗼𝗻𝘀𝗵𝗶𝗽𝘀:
Master Service Agreements let you negotiate once, reuse forever while using Statements of Work (SoW) for specific work. Essential for strategic suppliers.

→ 𝗙𝗼𝗿 𝗿𝗲𝗰𝘂𝗿𝗿𝗶𝗻𝗴 𝗴𝗼𝗼𝗱𝘀:
Supply Agreements lock in pricing and guarantee supply.

→ 𝗙𝗼𝗿 𝘃𝗮𝗿𝗶𝗮𝗯𝗹𝗲 𝗱𝗲𝗺𝗮𝗻𝗱 𝘄𝗶𝘁𝗵 𝗺𝘂𝗹𝘁𝗶𝗽𝗹𝗲 𝘀𝘂𝗽𝗽𝗹𝗶𝗲𝗿𝘀:
Framework Agreements let you compete each project while maintaining pre-qualified vendors.

Picking the right contract type is about correctly defining the rules of the game before you play it...

But the rules also need to be adapted to the game!

Otherwise, you're going to be bickering about the rules instead of creating value for both your organizations...

Most contract failures happen because teams pick contract type based on comfort, not project fit.

You spent 6 months negotiating a 3% discount...
 
Then gave it all back with the wrong payment terms.
 
Most teams default to "Net 30" and move on.
 
But there are 6 payment term types...

And they range from dead simple to seriously sophisticated.
 
From simplest to most complex:
 
→ Net Terms (Net 30/60/90):

Pay the full amount X days after invoice. No discount. No third party. Just a due date.
 
→ Early Payment Discount (2/10 Net 30):

Pay early, get a fixed discount. Static. Simple.
 
→ Advance / On Delivery (Net 0):

Pay upfront. Used for niche suppliers or to secure capacity.
 
→ Milestone-Based Payments:

Tie payments to deliverables. Ideal for projects and IT implementations. Can be combined with another type.
 
→ Dynamic Discounting:

Suppliers choose when to get paid early on a sliding scale. Tech-enabled.
 
→ Supply Chain Finance:

A bank pays suppliers early using your credit rating. You pay the bank later. Most complex — biggest impact.
 
Here's the part most people miss:
 
Different mechanisms can get you to the same place... You're just trading time for price.
 
It all comes down to your Weighted Average Cost of Capital (WACC)

(Basically, the minimum return your company needs to justify spending cash)
 
Example on a $500K invoice with an 8% WACC:
 
→ Option A:

Net 60. Pay $500,000 on day 60.

→ Option B:

1/10 Net 60. Pay $495,000 on day 10.
 
You save $5,000 but give up 50 days of cash.

The annualized return? ~8%.
 
At an 8% WACC, these two options are financially identical.
 
If your WACC is higher than the return → keep your cash.

If your WACC is lower → take the discount every time.

An "AI Agent post" that actually offers some practical advice... 😅

Here's what you can do to get ahead with AI Agents in procurement if you can't secure budget for a best-of-breed, fit-for-purpose tool (YET!):

No FOMO. No fluff. Just a practical 8-step roadmap:

→ Step 1: Research which generic enterprise platforms my company already has installed.

Microsoft 365? ServiceNow? SAP? Oracle? Salesforce? Google?
These all have AI Agent Builder modules buried in them.
Start here.

→ Step 2: Ask IT and management for access to the "AI Agent Builder" modules.

Drown everyone in niceness until you have access.
This is your experimental sandbox.

→ Step 3: Read up on the most important AI subdomains for procurement.

Machine Learning, Natural Language Processing, Computer Vision, LLMs, etc.
Each one solves different problems.
Understanding this prevents you from getting bamboozled by vendor marketing.

→ Step 4: Start experimenting and building procurement agents.

Here are 5 use cases to try:

↳ Event design agents (recommend RFP vs RFQ format)
↳ Supplier selection agents (recommend qualified vendors from database)
↳ Contract clause extraction agents (pull key terms from agreements)
↳ Supplier onboarding agents (guide new vendors through registration)
↳ Risk monitoring agents (track supplier financial health and disruptions)

Share what you learn with your IT business partner.
Bring them along for the journey.

→ Step 5: Use your newfound practical knowledge to build tech-agnostic business cases.

The generic platform won't cut it.
It never does.
That's why the ProcureTech market exists...
"If I had a tool built SPECIFICALLY around this procurement use case, I could generate X benefits"
This is gold for securing funding later.

→ Step 6: Do market research to find Procurement technology vendors leveraging these concepts.

Your B.S. meter will be finely tuned because you just experimented yourself.
You'll know who actually knows what they're talking about.

→ Step 7: Secure funding for fit-for-purpose ProcureTech.

You know the generic solution doesn't work because you've used it...
Your IT business partner can back you up.
This is SUPER important to prove to IT as they want to limit new apps.

→ Step 8: Implement fit-for-purpose ProcureTech based on your business case.

BOOM.
You start actually realizing the real potential of AI Agents.

The difference between procurement professionals who thrive with AI and those who get left behind?

One group complains about the hype and waits for the market to deliver "silver bullets" (which will never happen)
The other group gets their hands dirty experimenting.

Nobody is laying off 40% of their team "because of AI."
 
Block just said it did though....
 
But the real reason has nothing to do with ChatGPT.
 
Here's what's actually going on:
 
→ Executives set aggressive growth targets

→ They get funding based on the corresponding valuation
 
→ They hire to match those targets
 
→ The growth didn't come
 
→ AI became the perfect scapegoat
 
When a company misses its growth projections, someone has to take the blame.
 
It's never the executives who built the headcount model.
 
It's always the employees who were hired based on it.
 
And yes... Maybe they're also done the intensive build phase and simply don't need as many engineers anymore.
 
That's a legitimate reason.
 
But say that.
 
Don't tell the market you're "restructuring for an AI-first future" when what you mean is:
 
"We overhired and now we're fixing the balance sheet."
 
As for AI eliminating 40% of jobs overnight...
 
ChatGPT launched in 2022.
 
Most companies are still in pilot mode 😂
 
AI is definitely a game changer... The way ERP, cloud, and mobile were.

It will change everything...

But it will be just like those previous generations of technology:
 
Slowly.
 
The layoffs happening today?
 
Those are a forecasting problem.
 
Not a consequence of a nebulous term like "AI".

Every ProcureTech investment will disappoint you.
 
Not might. Will.
 
Kierkegaard nailed this 200 years ago...

He said you'll regret WHATEVER you choose.
 
Marry or stay single → you'll regret it.
Take the job or turn it down → you'll regret it.
Have kids or don't → you'll regret it.
Move abroad or stay home → you'll regret it.

Meaning... You'll always wonder about the other option...

Yet the other option is impossible to live out.

These choices are "one way doors"
 
Procurement digitalization is no different.
 
Go live with that new S2P tool and within weeks you'll hear:
 
→ "The old process was simpler"
→ "This doesn't handle our edge cases"
→ "We should have gone with the other vendor"
→ "We should have just stayed with out old system"
 
Here's what nobody tells you:
 
The status quo you're being compared to was also full of challenges.

It was just facing them quietly.

In ways people got used to.

The implementation with the "other vendor"? Full of challenges too.
 
The difference?
 
New tools face challenges "loudly". And that feels worse.
 
The antidote isn't picking a "perfect" solution. It doesn't exist.
 
It's going in with deep conviction that the digital path is right.

And then managing stakeholders through the "valley of regret" so they can reach the other side.
 
The teams that win at ProcureTech aren't the ones who avoid regret.

They're the ones who expect it to surface.
