Projected IRR is the last thing I look at in a private deal.

Structure is the first.

Not the marketing deck.
Not the polished underwriting model.
Not the headline returns.

Structure determines:

1. Who gets paid first
2. How risk is shared
3. What happens when things don’t go perfectly
4. How cash flow is distributed
5. How upside is split

Returns matter.

But structure determines whether those returns are actually achievable.
