The headline changes made waves—but the real impact is still flying under the radar.
March 1 is 14 days away.
Here’s what’s really at stake:
• 7(a): Green card holders (LPRs) who’ve built businesses here for decades? Suddenly locked out—regardless of repayment history or U.S. jobs created.
• 7(a): U.S.-citizen founders with even one LPR on their cap table? Disqualified—NO exceptions.
• 7(a): Franchisees, family businesses, partnerships—if there’s LPR ownership, you’re out of options.
• 504: CDC/504 transactions already in the pipeline, not yet closed? Potentially dead on arrival—putting millions in project financing at risk.
Here’s what’s getting missed in the headlines:
This shift was rolled out as a Procedural Notice—not formal rulemaking under the Administrative Procedure Act (APA).
No public comment period. No 90-day implementation window. No stakeholder input.
This single notice categorically excludes a whole class of previously eligible borrowers from the two largest government-backed small business lending programs in the U.S.—7(a) and 504. Certified and Preferred Lenders, CDCs: You will feel this downstream as the pipeline constricts and communities lose access to capital.
Legal experts I’ve spoken with see a strong APA challenge here.
There may also be Equal Protection grounds—courts often scrutinize federal rules that single out non-citizens.
With the March 1 implementation date looming, legal challenges are almost a given—an injunction before the deadline would not surprise me.
LENDERS: Act now. Submit 7(a) and 504 files for INS Clearance immediately—if you haven’t, expect significant delays. Start lining up conventional alternatives and review your pipeline for vulnerable deals. DM me to strategize next steps before the window slams shut.
BORROWERS: If you have LPRs in your ownership structure, call your counsel TODAY. Every day counts—your eligibility and funding are on the line.
SBA insiders: Watch NAGGL and NADCO—organized pushback and possible advocacy efforts will start there.
Last year alone, SBA 7(a) approvals totaled ~$45B.
A significant portion went to LPR-backed ventures—especially in growth sectors and local economies.
This isn’t a simple policy tweak.
This is a fundamental shift.
And 14 days is nowhere near enough.
