One of the most hotly contested areas of a transaction is reps and warranties.

Unlike buying a house where you can see the defects, the loose shingles, the missing brick, the water damage, when buying a business you don't have the same flexibility.

Enter reps & warranties.

Reps and warranties are statements of fact, made by both parties, that form the foundation of a purchase agreement. The seller represents that the business is what they say it is: accurate financials, no undisclosed liabilities, no pending litigation, employees properly classified, taxes filed and current.

If a rep turns out to be wrong, the consequences survive closing.

Indemnification is the mechanism that gives teeth to reps and warranties — meaning the seller may owe the buyer back for losses tied to a breach.

Typically, we negotiate the survival period for reps and indemnification to run somewhere between 12 and 24 months past closing. Sometimes longer.

Most sellers assume closing is the finish line. Legally, it's not.

Understanding which reps are worth fighting for and which ones you can accept and move on from is critical to keeping a deal moving toward closing.

El e-commerce en México creció 17.7% en 2025.

México hoy es el octavo mercado de mayor crecimiento en e-commerce a nivel mundial. 

No en tamaño, pero 77 millones de compradores digitales y 941 mil millones de pesos en ventas online no son peanuts.

Y aun así, el 75% de esos compradores todavía tienen margen para madurar digitalmente.

¿Qué le dice eso a cualquier empresa que vende en línea? Que el techo está lejos, muy lejos.

El problema no es el mercado, chicos, el tema es que muchas marcas siguen operando con la misma lógica de hace años: más tráfico, más ads, más descuento, cuando el juego ya cambió.

Ojo, no digo que eso ya no aplique, digo que para ganar en el e-commerce ya con eso solo no alcanza, hoy también es cuestión de experiencia post-clic: logística, pagos sin fricción, personalización y retención, no solo adquisición.

Los que entiendan eso primero, van a crecer en serio.

México está a punto de superar a Estados Unidos en penetración de e-commerce. Sí, leíste bien.

Según EMARKETER, México alcanzará 17.7% de las ventas minoristas totales desde el canal online en 2026, superando a US. 

A pesar de esto, la mayoría de los e-commerce en nuestro México lindo y querido siguen peleando solo por lo mismo de siempre: tráfico y conversión. Como si el partido se ganara solo atacando.

Pero el juego está cambiando, y hay tres movimientos que hoy separan a los que crecen de los que simplemente sobreviven:

1. Social commerce pero de verdad, no de "Instagram bonito" y ahí me quedo. TikTok Shop se lanzó en México en febrero de 2025, habilitando compras sin salir de la app.

No es una tendencia que viene, ya llegó y si tu catálogo, tu inventario y tu operación no están listos para que un video explote de un día para otro y generar ventas ahí mismo, Houston, you have a problem.

2. La experiencia es logística, no UI y diseño. Entregas rápidas, claridad en costos, devoluciones simples y atención inmediata ya no son diferenciales o un lujo, son el mínimo indsipensable. La vara está alta.

El cliente de hoy no premia que te veas bien, premia que le llegue bien.

3. La IA no es un chatbot de soporte ni una moda. Según McKinsey, 71% de los consumidores espera interacciones personalizadas y 76% se frustra cuando no las recibe. 

En 2026, quienes usen IA para personalizar en tiempo real, basándose en historial, comportamiento y datos demográficos, van a convertir más y devolver menos. No es el futuro, es hoy.

El e-commerce en México no necesita solo más presencia digital, necesita más operación digital.

El "shopper híbrido" de Consumo Masivo en México.

En el muy buen estudio sindicado que acaban de publicar mis amigos de la Asociación Mexicana de Venta Online "AMVO"​, vemos claramente que en consumo masivo (CPG), ya no estamos en la pelea de “online vs. offline”, esa discusión, hace rato, quedó vieja.

Hoy la verdadera conversación es entender cómo el consumidor combina ambos mundos en su día a día, porque la realidad es que el shopper es híbrido y práctico con los canales. 

El 84% navega sin problema entre tienda física y digital, no por moda, sino porque cada canal le resuelve cosas distintas.

En productos de consumo masivo, el canal digital dejó de ser solo “el lugar para cazar ofertas”. Ahora es una herramienta de eficiencia, la gente compra online para ganar tiempo, planificar mejor y reducir fricción. 

Lo usa para sistematizar su despensa semanal o mensual, pero la tienda física no perdió relevancia, al contrario, es donde tocamos, vemos y confirmamos y muchas veces funciona como el complemento perfecto: compras online y recoges en tienda. 

Y haciendo doble click en el perfil de este shopper, de acuerdo al estudio, vemos que es fundalmente joven (51% Millennial) de NSE altos.

No hay dudas que CPG es una vertical que aún tiene un enorme espacio para crecer en el mundo online.
