Their focus is the business.

Law firm attorney:
- Asks: “What’s the legal question?”
- Explains the three ways to structure the deal and the risks of each
- Spends hours researching case law for sky-is-falling risk
- Writes an email with six caveats and three disclaimers

In-house counsel:
- Asks: “What are you trying to accomplish?”
- Recommends the best way to structure the deal
- Knows which legal risks actually matter. And those that don’t
- Gives a straight answer

It’s not about intelligence. It’s not about expertise. Or even experience.

It’s about understanding what the business is trying to achieve and using the law as a tool to get there.

Not the other way around.
