I remember last year going to an early morning investor breakfast and sitting down with a select few of the most talented emerging managers in London. 

Having 1-2-1 conversations after, they said to me,

"Gibran, what is your skin in the game, what is your risk in this business? why should we give you our money if you haven't put anything in yourself - what is your personal risk in this business?"

That stuck with me. It burned. I walked out of that building in Berkley Square gutted and deflated. But it was true and a lesson.

I then drowned my sorrows in a few vodkas and a come back plan.

Quelle surprise, I didn't get any further and received a series of "Irish No's" (ghosted) the fund then slipped into dust. (Moose, my ex LIFFE floor mate warned me, that it wouldn't go well)

Since then, and being an ADHD monster who adores adversity and people telling me it can't be done, I've embraced risk to an uncomfortable level.

Mainly because I absolutely love it. 😻 

So in Jan I started again.

I used equity as leverage and made everyone a partner/director/division head/co-founder
I hired ex Space Program engineer, Risk Quant analysts and AI / ML engineers and a 30yr international fraud investigator and forensic accountant, I raised the companies IQ game to a staggering degree.

Over the past year I then and still continue to interview 157 of my personal past and current PM managers, risk officers, fund managers, investors and those involved in financial risk about how they are using and managing risk within their business. 

Risk management was now personal. 

To many risk management is a job role and fancy awards ceremonies. With that said I realised that we had to create a service that would enable those to still keep their jobs and the ability to swan up and collect their cherished perspex awards every year. 

So now we've built a business were our clients are in control of their risk so they don't have to sacrifice their business or their job or their clients position.

This is how we do it.

ABN AMRO's €960 million acquisition of NIBC Bank, announced on November 12, 2025, marks a pivotal move to consolidate its dominance in the Dutch retail banking sector. 

This deal, ABN AMRO's largest since its 2015 re-listing, targets NIBC's specialised mortgage and savings franchise amid a Dutch housing market under pressure from ECB rate dynamics and regulatory scrutiny. 

ABN AMRO Bank N.V. AMRO will acquire 100% of NIBC from Blackstone Inc. for approximately €960 million ($1.11 billion), subject to regulatory approvals (e.g., ECB, DNB) and works council consultations. Closing is targeted for H2 2026, with immediate integration planning to begin post-announcement. The deal includes one-off costs and alignment with ABN AMRO's risk standards, estimated at €2.6 billion in additional risk-weighted assets (RWA) from NIBC's mortgage book.

NIBC Bank, founded in 1945 as the Dutch Investment Bank, brings entrepreneurial flair in mortgage lending, savings products, commercial real estate (CRE), and digital infrastructure financing. It serves ~325,000 savings clients, 200,000 mortgage clients, and 175 corporate clients across Northwest Europe—aligning with ABN AMRO's geographic footprint (Netherlands, Germany, Belgium). 

CEO Marguerite Bérard highlighted it as a "unique opportunity" for profitable growth, per the bank's new strategy to be unveiled at the Capital Markets Day on November 25, 2025.

Adds scale to ABN AMRO's €50B+ mortgage portfolio and affluent retail base; cross-selling potential via BUX investments (e.g., 500,000 new clients). NIBC's low fee base complements ABN AMRO's offerings, with RoIC projected at attractive levels post-integration costs.

 ~70 basis points (bp) CET1 dilution at close, pushing ABN AMRO's ratio from 14.4% (Q3 2025) toward its 13.5% target, amid Basel IV pressures. Total workforce addition: ~594 FTEs from NIBC, supporting ABN AMRO's 25,921 FTEs (Q3 2025).

Low execution risk due to cultural/strategic alignment, but challenges include client migrations, NPL harmonization, and DNB compliance (e.g., post-€29M fines). 

NIBC CEO Nick Jue emphasised enhanced client value through ABN AMRO Bank N.V. AMRO's scale.

We think that this shows a confident move into securing a great cash cow business, that with a new growing focus on AI and automation of legacy operations and systems, when will complied with regulation will ease millions in trapped cash and herald a dynamic wave of profitable expansion.
