Quorum in shareholder meetings? It seems boring and standard under Hong Kong’s Companies Ordinance (Cap. 622). 

Default: just two members present (or one for single-owner firms). 

But ignore it, and it bites back hard.

In a 50/50 JV? One skips the meeting—no quorum, no vote, total deadlock.

Not just JVs. With three shareholders, two against a move? They ghost, quorum fails, proposal flops. Absenteeism becomes a sneaky veto in any uneven setup. Still sound standard?

Rachel was a graduate of the University of Hong Kong and a Sloan Fellow of the London Business School. She speaks and judges regularly at various business and educational events locally and internationally, including the Annual Women of Influence Awards organized by the American Chamber of Commerce (HK).
