The IRS loves single-member LLCs.
Because they’re the easiest ones to crush.


They audit them more than almost any other business type.
Schedule C filers are low-hanging fruit.

Most owners form an LLC and think they’re safe.
But to the IRS, a single-member LLC doesn’t even exist.
It’s a disregarded entity.

They don’t need to “pierce” anything.
they just audit you.

And here’s what kills most owners:
The receipts exist, they just don’t hold up.

Gas stations.
Meals.
“Client entertainment.”

Looks normal until the agent asks for a mileage log, a calendar, or a client list.
Then it all falls apart.

You’re not being dishonest.
You just look like every taxpayer who is.
And that’s enough.

The IRS disallows everything.
Then adds penalties.
Then interest.

A $10,000 write-off can snowball into a $25,000 nightmare.

What can you do?
You can’t out-argue an algorithm. You out-structure it.

Add a second member, even 1%.
Now your LLC files Form 1065 with Schedule K-1s.

You move out of the Schedule C danger zone.

Here’s the dirty secret behind most multifamily deals.


9 out of 10 mid-market multifamily operating agreements,

the 15 to 200-unit deals run by syndicators and private investors,

would collapse the second a lender sneezes.


Not because lenders are villains.

Because they’re smart, aggressive, and legally senior.

And most operating agreements give them a free runway,

straight into the cockpit.


Once the loan closes,

the lender becomes your long-lost partner.

The one you never knew you had.


Cashflow dips?
The “springing lockbox” sweeps every rent dollar before you see it.

Minor default?
You’re suddenly waiting for lender consent to pay vendors or approve budgets.

Manager disappears?
No emergency clause, accounts freeze, insurance lapses, tenants panic.

Distributions?

Gone.
 
The lender traps cash, blocks payouts, and redirects reserves to “protect collateral.”


You might technically own the property,

but you’ll need permission to touch your own money.


You can’t stop a lender from protecting their position.

 But you can stop them from running your deal.


That means

• Mirror loan covenants. Don’t let consent creep beyond the loan.

• Define who can act and cure during default.

• Build emergency authority so operations don’t freeze.

• Centralize lender communication. One voice. One channel.


When those protections are missing,

the lender doesn’t just hold a lien,

they hold the cockpit controls.
